Dear Steve:

	This  letter  will  serve  to  confirm  our  conversation  of
Saturday, November 22, and set forth some new decisions by myself, acting for Vicarm.

	During  a discussion on November 22, we  both agreed  that an
impass exists with respect to your employing extra personnel  to work
in Vicarm facilities and assist you in  your work.  The net result of
this  conversation was  a statement  from me  that Vicarm  desired to
terminate our current working agreement, and you were  to move within
a month.  You verbally agreed to this by stating that you already had
started making  plans for  just  such an  eventuality, and  would  be
moving within 2 to 3 weeks, and certainly within a month.

	Thus,  this letter  is  to formally  inform  you that  Vicarm
desires to terminate  our current working arrangement and expects you
to move from the  premises by December  22, 1975. In accordance  with
the current working agreement, you will  be charged at a rate of $325
per  month up until the  date you completely move  out, or until December 22,
whichever  is later.   Should you be  unable to  do so by  this
date, you may continue on at  a new flat rate of $30 per day for each
day, or part of a day, you use the shop facilities after December 22.
In no event shall this use extend past January  1, 1976 without a new
working arrangement being established.

	I feel  it unfortunate that we have not  been able to see eye
to eye on  establishing a mutually satisfactory  agreement.  This  is
probably because your sudden growth plans do not fit in with Vicarm's
plans and  my ideas of shop utilization.  In addition, I realize that
you feel that all shop use rates I have quoted are out  of line.  All
I  can  say to  this  is to  suggest  you check  elsewhere  to get  a
comparison price, before you comment furthur on my charges.\.
