Dear Steve:

	You recently  mentioned  that you  were planning  to hire  an
employee.  This  letter is to confirm my position regarding these new
developments.  I have already told you that the conditions for having
a  new employee  are that  no person  other than  yourself will  have
access to  any part of the Vicarm facilities other than the shop area,
for any  reason whatsoever  (including  going to  the bathroom)  when
there is  no Vicarm personnel present.   You, yourself  only, will be
allowed access to the bathroom when no Vicarm personnel are  present.
To enable you to do this, a lock will be placed on the shop door.  It
is  to  be locked  at  all times  and  opened by  you  personally for
purposes of  going to the  bathroom.   It is  your responsibility  to
insure that no one else goes through that door, for any reason. To
furthur insure Vicarm security, you will give up your current Vicarm keys and
receive a key for the outside shop door, and a key for the door connecting
the shop to the rest of Vicarm facilities.

	You  will  be permitted  a  maximum  of  one employee.    The
definition  of an employee will  be the following:   Any person other
than yourself who  is in the shop  for the purposes of  operating any
machine  (belonging  to  Vicarm  or  you  or anyone  else),  will  be
considered an employee.  You, yourself  must be present at all  times
when this  employee is  present, and  at all  times when anyone  else
connected with your enterprise is present.

	Failure  to observe  these rules  will constitute  prima facie
evidence of your desire  to terminate our  agreement of Oct. 27.  You
will  then  be  expected  to  immediately (within 5 days)  vacate  the  premises  and
compensate Vicarm for all unpaid sums as outlined in our agreement of
Oct. 27.

	You are also hereby informed that you operate 
in Vicarm facilities and operate Vicarm equipment entirely at your
own risk and it is your responsibility
to properly insure yourself, your machines, your employees and your
associates against theft, damage, injury, and liability. 

	The intent  of the original  agreement was  to enable you  to
start a  separate machine shop  business of your own.  Vicarm  facilities are too
small to  permit  much  expansion  on  your  part  without  seriously
impairing the daily operating schedule of Vicarm.   Should you desire
to expand  your present scale of business  furthur, I suggest you look
into moving to larger facilities.

I HAVE READ THE ABOVE LETTER, AND UNDERSTAND THE CONTENTS.  I AGREE TO ABIDE BY
THE REQUIREMENTS AND CONDITIONS SET FORTH.\.
