Dear Steve:
\C SUBJECT:  AGREEMENT BETWEEN VICARM INC. AND CAMAX

	This  letter sets forth  the terms  of  an agreement  between
Vicarm,Inc. and Camax (Stephen  Carney) covering  the use of  Vicarm shop
space and facilities as outlined in our letter of October 20  to you,
and furthur detailed and modified here in.

	On a seven month contract,  starting retroactively on October
1,  1975, (this date  representing the commencement  of the presently
unpaid  portion of  the  existing  verbal  agreement  established  in
September, 1975), Vicarm  will allow Camax to use its  shop space and
facilities  for a total  fee of $2,275,  to be paid  monthly in seven
equal installments. Payments  shall be  due on the  last day of  each
month. During this period of  time Vicarm has the option to purchase,
from Camax, up to  130 hours of prototype  machining time at a  price
not to exceed $15.00 per hour.

	Should  Camax  desire  to  terminate  this  agreement  early,
compensation  for the actual time  used shall be at  the rate of $400
per  month for  the  first  four  months,  and  $350  per  month  for
additional  months until  $2,275  is  reached.   As  the schedule  of
payments  calls  for  equal  monthly  payments  of  $325,  the  early
termination balance  due shall  be payable  within 15  days of  early
termination by Camax.

	Alternatively, should Vicarm  terminate this agreement early,
Camax shall be  responsible for  time used at  the rate  of $325  per
month.
	
	The signatures  below  confirm  agreement to  the  terms  and
conditions stated above.
